I. Required basic conditions for the establishment of a resident representative office in Shanghai
(1) The foreign enterprise must be legally registered in its country;
(2) The foreign enterprise must be of good commercial reputation;
(3) The foreign enterprise must provide the authentic and reliable materials according to this enforcement regulation. 


II. Time and requirements for the establishment of a resident representative office in Shanghai: 

(1)When applying for the establishment of a representative office in the territory of the People’s Republic of China, a foreign enterprise must apply to Shanghai Administration for Industry & Commerce on its website for investigation. The Administration for Industry & Commerce will make a decision for approval or disapproval within 5 working days and publish the results on the Internet. The approved enterprise should reapply to the Administration for Industry & Commerce formally. 10 working days later, the Administration for Industry & Commerce will issue the registration certificate of a representative office. It will take about 10 working days for other government agencies to deal with all kinds of license. 

(2). When applying for a resident representative office in China, a foreign enterprise must entrust an agency approved by the competent authorities of the Government of the People’s Republic of China to submit various materials to the approval authorities and deal with declaration formalities.


III. Required materials for the establishment of a resident representative office in Shanghai

(1) Application form (signed by the Chairman or General Manager)

Contents are as follow:

1) Name of a resident representative office
2) List of chief representative and members of a representative office (chief representative and representatives)
3) Company profile, purpose for the establishment of a representative office, business scope

4) Office address

5) Term of residence 

(2) Appointment letter of representatives (signed by the Chairman or Executive Director) 

If the Chairman is also the chief representative or the representative, then the letter of authorization must be signed by more than two directors of the board of the enterprise

(3) CVs of representatives; 

(4) Passports or ID cards (copy) of the chief representative and representatives;

(5) Legal business license (copy) issued by the related authorities of the country in which the enterprise is located, with the validity term

(6) This certificate should be notarized at the local China Embassy /Consulate;

(7) Credit certification (original) issued by a foreign bank having business dealings with the enterprise, with credit rating and validity term

(8) Office building lease contract (original)

(9) Material provided by Lessor

Including:

1) House ownership certificate (copy)

2) Foreign-related official documents (copy) approved by Foreign Economic Relation & Trade Commission

3) Certificate of residence issued by the property company

(10) Four 2-inch photos of the chief representative and representatives;

(11) Authorization letter of entrusting our company as a agency


IV. Contents of our company service

(1) Commercial and industrial registration certificate of a representative office(The unity of three certificates)

(2) Foreign exchange registration certificate 

(3) A set of official seal

It will take 30 working days in total to finish the whole process , and the government fee is about RMB 500 (according to the actual invoice)
